The fifth meeting of the Law School Seminars of 2023-24 Academic Year was held at the meeting hall on 7th floor of Block C at North Campus.
Res. Asst.. Doğukan Kılıç (Commercial Law Dept.) started his presentation titled "Indebtedness of a Joint Stock Company to its Partner and Conversion of the Partner's Receivables in the Company into Capital" by drawing attention to the prevalence of the joint stock company's indebtedness to its partner. The extent to which the Turkish Commercial Code regulates and limits this phenomenon was explained through legal provisions. At the same time, the capital of the joint stock company along with its directly related subjects of principles of joint stock system and capital were emphasized. Thus, important issues in terms of economic efficiency and resource adequacy of joint stock companies were discussed.
Then, focusing on the forms of transformation of debt into capital, Kılıç explained the exchange of capital debt with receivables from the company and the way this process works within the scope of law. The debt of a joint stock company to its partner and the conversion of said debt into capital are discussed in terms of the benefits they provide and the possible problems they may cause. The adequacy of the law in the context of these problems is evaluated. In areas where the law is thought to be inadequate, the law that should be in place for various institutions was discussed.
